About the Role

 

We are looking for a M&A Legal Associate to join our team.

 

This role will be responsible for advising on all aspects of Mergers and Acquisitions (“M&A”) transactional matters across Europe and will also play a key role in supporting the Global M&A and Integration Legal Director connecting with all regions, to ensure the provision of clear, consistent, and concise expertise/best practice on all legal matters related to M&A activity for the Group.

 

 

Kerry operates a Hybrid working policy, candidates will be required to work from our offices in Naas or Tralee each week.

Key Individual Accountabilities

 

  • Provide pro-active, business oriented, legal counsel on all aspects of mergers and acquisitions activity, in partnership with our dedicated M&A function. 
  • Work on international and cross-border transactions arising across the regions in which Kerry operates including the drafting of share & asset purchase agreements, shareholder agreements, disclosure letters, warranty & indemnity packages, joint venture agreements.
  • Supporting on all aspects of M&A legal due diligence and the reporting of same to the Kerry Executive team.
  • Assist with reviewing, developing, and managing the updating of core legal M&A policies and procedures.
  • Assist with the management of complex M&A transactions involving coordination across multiple jurisdictions and a wide range of legal issues.
  • Having the ability to identify legal and contractual issues on M&A transactions and provide clear guidance and recommendations where appropriate.
  • Managing outside counsel to receive jurisdiction-specific M&A legal advice and oversee M&A related matters in partnership with regional Legal M&A leads.

  • Provide expert support, as appropriate, to internal meetings relating to Legal M&A matters.
  • Assisting with post-acquisition legal integration processes to ensure full and proper legal integration of all acquisitions.
  • Assist with managing competition related enquiries and procedures.
  • Assist with managing regulatory related matters for pipeline investment opportunities.
  • Contribute to supporting the broader leadership of the legal function across Kerry.

 

Qualifications & Skills

 

  • Strong relevant experience as a solicitor advising on corporate and M&A related activity.
  • Active practicing license as a solicitor in Ireland or England and Wales.
  • Experience with working in a corporate legal environment or law firm.
  • Experience with collaborating in a high performing team environment.
  • Ability to assist with legal strategy preparation, negotiations and navigate through complex legal issues.
  • Strong commercial awareness and understanding of business needs with excellent negotiation skills.
  • Ability to work across several multinational jurisdictions and to collaborate across geographies and functions.
  • Ability to travel to the regions to work on M&A related transactions.
  • Ability to serve as a business partner to corporate leaders and build consensus on complex business and legal issues whilst viewing legal matters with a business lens.
  • Ability to manage in a matrixed environment and to handle a large & varied portfolio of M&A related activity.
